1. Acceptance of Terms & Eligibility
By entering, connecting to, accessing, or using the Month0 platform (including our websites, applications, core digitization tools, Operations Control, and Enterprise Scaling features), you acknowledge that you have read and understood these Terms of Service. If you disagree with any part of these terms, you must immediately cease using the service.
The Platform is available only to individuals who are at least eighteen (18) years old and possess the legal capacity to enter into these Terms on behalf of themselves and the organization they represent.
2. Platform Features, User Content & Responsibilities
Month0 provides cloud-based enterprise resource planning (ERP) services, including inventory management, recipe engineering, and AI-driven data extraction. The Platform functions by Users uploading their data (e.g., invoices, recipes, counts) to their Accounts.
- AI Data Ingestion & User Content: Month0 utilizes AI to automatically extract data from your uploaded files (invoices, photos). While we strive for accuracy (e.g., dual-SKU resolution), you are solely responsible for verifying the extracted data and the resulting financial intelligence. You must ensure you have the legal right to upload any data to the Platform, and you grant Month0 the necessary licenses to process this data to provide the Service.
- POS Integration & Forecasting: Our forecasting engine relies on data pulled from your third-party Point-of-Sale (POS) systems. We are not liable for inaccurate depletion tracking or Smart Draft ordering errors caused by disruptions, lag, or incorrect data provided by these third-party integrations.
- Operational Actions & Transactions: Month0 is a software provider, not a party to your transactions with suppliers. Features like the "Smart Draft Engine" assist in purchasing, but you retain ultimate responsibility for approving all purchase orders. We assume no liability for goods, prices, suitability, or timely delivery from your suppliers.
3. The "Month Zero Guarantee"
For Managed SaaS Subscriptions, we offer a risk-free first month:
Your first 30 days ("Month Zero") are completely free, with no credit card required to start. To continue using the service after this period, you will need to add a valid payment method via our independent Online Payment Processors. If you do not provide a payment method, your account access will be automatically paused.
4. Organization Data, Accounts & Security
Month0 strictly employs Organization Data Isolation. Your custom pricing, theoretical vs actual variance data, supplier mappings, and recipes are cryptographically isolated and cannot be accessed by other tenants.
You are solely and fully responsible for maintaining the confidentiality of your Account login details and for all activities that occur under your Account. You must notify us immediately of any unauthorized use. We will not be liable for any loss or damage arising from your failure to safeguard your Account credentials.
5. Use Restrictions
You may not (and may not permit anyone to): (a) use the Platform for any illegal or unauthorized purposes; (b) interfere with or disrupt the operation of the Platform or the servers that host it; (c) take any action that imposes an unreasonable load on our infrastructure; (d) bypass any security measures; (e) reverse engineer, decompile, or copy any portion of the Platform’s code or features without explicit written consent; or (f) transmit any virus, worm, or harmful code.
6. Source Code Ownership License
If you purchase the "Total Code Handover", "Technical Sovereignty", or "Private Instance" enterprise packages, specific license terms apply:
- Grant of License: Month0 grants you a perpetual, non-exclusive, non-transferable license to use, modify, and deploy the source code solely for your own business operations.
- Prohibition on Resale (White-Labeling): You may NOT resell, redistribute, sub-license, or package the source code to sell as a competing SaaS product.
- Intellectual Property: Month0 retains all original intellectual property rights to the core platform code. You own the specific modifications you make to your isolated instance.
7. Disclaimers and No Warranties
To the fullest extent legally permissible, the Platform and Content are provided on an "AS IS", "With all faults", and "As Available" basis.
Month0 and its representatives disclaim all warranties of any kind, express, implied or statutory, including but not limited to warranties of title, non-infringement, merchantability, or fitness for a particular purpose. We do not warrant that the Platform will be secure, timely, accurate, uninterrupted, without errors, or free of viruses. Your use of the Platform, including reliance on AI extraction models, POS data syncs, and usage forecasting, is entirely at your own risk.
We are not responsible for any consequences resulting from technical problems, internet latency, or outages from third-party telecommunications providers.
8. Limitation of Liability
To the maximum extent legally permissible, in no event shall Month0 be liable for any indirect, special, punitive, exemplary, incidental, or consequential damages of any kind.
This includes, without limitation, loss of goodwill, profits, data, wasted inventory, stockouts, or business interruption arising out of your use or inability to use the Platform, even if we have been advised of the possibility of such damages. Our total aggregate liability for all damages or losses whatsoever shall be limited to the amount actually paid by you to Month0 over the twelve (12) month period preceding the event giving rise to the claim, or $100.00, whichever is greater.
9. Indemnification
You agree to defend, indemnify, and hold harmless Month0, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (i) your use, misuse, or inability to use the Platform; (ii) your violation of these Terms; (iii) your violation of any third-party rights, including intellectual property or privacy rights concerning the content you upload; or (iv) any dispute between you and a supplier or other third party.
10. Modifications & Termination
We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) or amend these Terms at any time, at our sole discretion. In the event of material changes to the Terms, we will make reasonable efforts to notify you. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.
We may also temporarily or permanently limit, suspend, or terminate your Account immediately if we believe you have violated these Terms, pose a security risk, or if required by law.
11. Governing Law & General
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Texas. You and Month0 are independent contractors; these Terms do not create a partnership, employment, or agency relationship.
